On 28th July 2003 the Company cancelled all then existing certificates covering holdings of ICG Ordinary Shares. These were replaced by new certificates covering holdings of ICG Units. After the 28th July 2003, only the new certificates are valid for sale / transfer purposes.
An ICG unit consists of one Ordinary Share and ten Redeemable Shares (or such lesser number thereof, if any, resulting from the redemption of one or more Redeemable Share). The shares comprising a unit are not separable for sale / transfer purposes, i.e. no share (Ordinary or Redeemable) may be sold / transferred unless they are sold / transferred in connection with a simultaneous transfer of the other shares with which they are linked as an ICG Unit.
From time to time, the Board of Directors, at its own discretion, may redeem some or all of the Redeemable Shares at a premium over their nominal value. Any such redemptions will be in cash and, if any such redemptions take place, it is unlikely that a dividend would also be paid, and vice versa.
The redemption of Redeemable Shares will reduce the number of such shares contained in an ICG Unit. The number of Redeemable Shares comprised in an ICG Unit at any particular time will be displayed below.
Following approval at the Annual General Meeting held on 24 June 2009, the then one remaining redeemable share (of 0.01 cent nominal value) was subdivided into 10 redeemable shares (of 0.001 cent nominal value) such that following the sub-division, an ICG Unit comprised one ordinary share (of 0.65 cent nominal value) and 10 redeemable shares (of 0.001 cent nominal value).
